The UK Competition and Markets Authority (CMA) has launched a Phase 2 investigation into the merger between Vandemoortele Group and Délifrance S.A., following concerns about a substantial lessening of competition in the UK market. This decision comes after the companies admitted potential competitive issues in their sector.
Merger Review Initiation
The CMA initiated the merger inquiry on 10 October 2025, inviting public comments to assess the deal's impact on UK markets. By 22 April 2026, the CMA referred the merger for an in-depth investigation. Initially, Vandemoortele offered undertakings to avoid a Phase 2 probe, but these were not accepted. As such, the completed acquisition moved ahead to the next investigatory phase.
Identified Competition Concerns
In May 2026, Vandemoortele accepted that its merger with Délifrance could result in a substantial lessening of competition concerning the supply of frozen laminated dough products in the UK. These admissions ushered in further scrutiny by the CMA, with a focus on horizontal unilateral effects typical in this market segment.
The interim report, issued on 18 June 2026, affirmed these competition concerns. Stakeholders were invited to respond by 9 July 2026 with comments on potential remedies. The findings indicated that the merger might create dominant market conditions detrimental to consumer choice and fair pricing.
Next Steps and Regulatory Framework
An inquiry group comprised of Chair Martin Coleman, Ashleye Gunn, and Sir Kenneth Parker was appointed to handle the detailed examination. Their oversight will adhere closely to CMA guidelines updated in January 2025, providing the legal structure for extensive merger reviews.
Stakeholders should note that the deadline for comments on potential remedies was set for 25 June 2026. Following this, the CMA will determine suitable actions to mitigate identified competitive detriments.
