Tabcorp to Acquire BetMakers in $267 Million Deal

Tabcorp Holdings has signed a binding agreement to acquire BetMakers Technology Group for approximately $267 million AUD (equivalent to $188.6 million USD). This deal, announced via a statement on the Australian Securities Exchange (ASX), aims to integrate BetMakers' B2B betting technologies and services into Tabcorp's betting and media operations. According to the Scheme Implementation Agreement, Tabcorp has proposed to buy all outstanding shares of BetMakers at $0.24 per share. This price reflects an enterprise value of around $267 million and an equity value of approximately $283 million on a fully diluted basis. The purchase will be primarily financed through Tabcorp's cash reserves and unused credit lines.

Technological Modernization Strategy

Tabcorp's leadership describes the acquisition as a means to accelerate the modernization of its technology platform. Tabcorp's CEO, Gillon McLachlan, stated: "The acquisition of BetMakers will accelerate our strategy in multiple areas. BetMakers has undergone significant transformation over the past two years and has built impressive betting technology and a talented team. Accessing these advantages will enhance our technological capabilities and accelerate our product ambitions." Jake Henson, CEO of BetMakers, added: "We share a common purpose with Tabcorp: to build a leading global business in betting and media."

Financial Implications

Tabcorp expects to save up to $30 million in cost synergies by the end of the second year of ownership. These savings will come from the consolidation of data centers, corporate applications, and technology contracts, replacing its legacy platforms with BetMakers' product suite, and achieving efficiencies in corporate and support functions. The transaction is also anticipated to be positive for earnings per share (EPS) from the second year post-completion, reaching a double-digit increase in EPS by the third year.

Deal Conditions

The proposed acquisition will be subject to a number of customary conditions, including approval from BetMakers' shareholders and the courts, as well as clearance from the Australian Competition and Consumer Commission. Regulatory consents will also be sought from gaming and racing authorities in jurisdictions where BetMakers operates. The transaction is planned to be completed in the third quarter of Tabcorp's fiscal year 2027, pending final regulatory and shareholder approvals.

Second Chance

Tabcorp's interest in BetMakers first arose in December 2025, following a positive fiscal year in 2025. However, discussions did not progress beyond informal talks. Furthermore, Tabcorp faced fines of over $2.7 million from the Australian Communications and Media Authority for regulatory violations. In contrast, last year, BetMakers acquired Las Vegas Dissemination Company, a business expected to generate approximately $4.5 million in revenue in its first year post-acquisition.
